1. Scope & Acceptance

These Terms of Service (“Terms”) govern your access to and use of the website, storefronts, and services offered by UniCommerce LLC (“we”, “us”, “our”). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Accounts & Eligibility

• You must be at least the age of majority in your jurisdiction and have the legal capacity to enter into a contract.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• You must provide accurate, complete, and up-to-date information; we may suspend or terminate accounts with inaccurate information.

3. Orders, Pricing & Payment

All orders are offers to purchase products/services. We may accept or reject any order at our sole discretion. Prices, fees, taxes, and shipping rates are shown at checkout and may change without notice until an order is accepted.

• Payments: We accept the payment methods shown at checkout. By submitting a payment method, you represent you are authorized to use it and authorize us (or our processor) to charge the full order total, including taxes and shipping.
• Taxes: You are responsible for applicable taxes, duties, and surcharges unless we state otherwise in writing.
• Errors: If a price, description, or availability is incorrect, we may cancel or adjust the order after notifying you.

4. Delivery & Lead Times

Lead times and delivery windows are estimates and not guarantees. Title and risk of loss pass according to the shipping Incoterms or, if none are specified, upon our delivery to the carrier. You must inspect goods upon receipt and notify us of any issues within 7 days.

5. License & Intellectual Property

All content, trademarks, logos, and software on the Services are owned by UniCommerce LLC or our licensors and are protected by IP laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Services solely for their intended purpose and in accordance with these Terms. No other rights are granted.

6. Prohibited Uses

• Reverse engineering, decompiling, scraping, or automated data collection without written consent.
• Uploading malware, infringing, illegal, or harmful content.
• Interfering with the security or availability of the Services.
• Using the Services to violate laws or third-party rights.

7. Warranties & Disclaimers

Unless expressly stated, the Services and all content are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied (including merchantability, fitness for a particular purpose, and non-infringement). To the fullest extent permitted by law, we do not warrant uninterrupted, error-free, or secure operation.

8. Limitation of Liability

To the maximum extent permitted by law, UniCommerce LLC and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages; loss of profits, revenue, data, goodwill; or business interruption, even if advised of the possibility. Our aggregate liability for any claim shall not exceed the greater of (a) the amount you paid to us for the relevant order in the last 6 months or (b) $5000.

9. Indemnification

You agree to defend, indemnify, and hold harmless UniCommerce LLC from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your content, or your misuse of the Services.

10. Termination

We may suspend or terminate access to the Services at any time with or without cause or notice. Upon termination, your license terminates and you must cease all use of the Services. Sections intended to survive (e.g., IP, disclaimers, liability limits, governing law) will survive.

11. Governing Law & Disputes

These Terms are governed by the laws of California, United States without regard to conflict-of-law rules. The exclusive venue for disputes shall be the courts located in San Francisco, CA, California, United States. You waive class actions to the extent permitted by law.

12. Changes to Terms

We may update these Terms from time to time. Changes are effective upon posting. Your continued use after changes constitutes acceptance.
